1. Scope and Application
These General Terms and Conditions ("GTC") apply to all purchases of goods by customers ("Buyer") from HR Electronics OÜ, registry code 14412321, VAT identification number , registered address: Pärnu maakond, Saarde vald, Tihemetsa alevik, Asuvere tee 7-4, 86201 (hereinafter "Seller"), through the online store at geniusgrower.eu (hereinafter "Store").
By placing an order, the Buyer accepts these GTC in full. These GTC constitute the entire agreement between the Buyer and the Seller regarding purchases made through the Store.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
The Seller reserves the right to amend these GTC at any time. The amended GTC apply to orders placed after publication on the Store.
2. Products
All products sold through the Store are indoor growing equipment, including but not limited to LED grow lights, grow tents, ventilation systems, and accessories. Products are sourced from authorized manufacturers and held in stock at EU warehouses.
Product images on the Store are for illustration purposes. Minor variations in colour and appearance may occur due to differences in screen calibration and lighting conditions. Such variations do not constitute a defect, provided the delivered product reasonably corresponds to the product listing.
Technical specifications (wattage, PAR/PPFD values, coverage area, dimensions, weight) are provided by the manufacturer and may be subject to minor variations between production batches.
The presentation of products in the Store does not constitute a binding offer. It is an invitation to submit an order (invitatio ad offerendum).
3. Contract Formation
By placing an order, the Buyer makes a binding offer to purchase the selected goods under these GTC.
The contract is concluded when the Seller confirms the order by sending an order confirmation email to the Buyer's email address.
The Seller reserves the right to refuse orders without stating reasons.
4. Prices and Payment
All prices displayed in the Store are in Euros (EUR) and include applicable value-added tax (VAT) where applicable. The Seller is not currently VAT-registered.
The Seller reserves the right to adjust prices at any time. The price applicable to an order is the price displayed at the time the order is placed. Price changes do not affect orders already confirmed.
The following payment methods are accepted:
- PayPal — instant payment via PayPal account or credit/debit card
- SEPA Bank Transfer — payment details provided in the order confirmation
For SEPA payments, payment is due within 7 calendar days of the order date. The order is processed once payment is received. Orders not paid within this period may be cancelled.
PayPal payments are processed immediately at the time of order.
5. Shipping and Delivery
All products are in stock and ship from EU warehouses in Germany and France. Orders are typically dispatched within 1–3 business days after payment is confirmed.
Products are shipped from EU warehouses to all EU member states, except Germany, Norway, and Switzerland.
Estimated delivery times after dispatch:
- EU countries: 2–5 business days
- Nordic / Baltic: 3–6 business days
Shipping is €6.99 flat rate. Free shipping on orders over €100. The shipping cost is displayed at checkout before the order is confirmed.
Delivery times are estimates and not guaranteed. The Seller is not liable for delays caused by carriers, customs, or circumstances beyond the Seller's reasonable control.
A tracking number will be provided by email after dispatch.
6. Right of Withdrawal
Under the EU Consumer Rights Directive (2011/83/EU), the Buyer has the right to withdraw from the contract within 14 days of receiving the goods, without giving any reason.
To exercise this right, the Buyer must inform the Seller by email before the 14-day period expires. Products must be returned unused, in their original packaging, and in resalable condition. The Buyer is responsible for the cost of return shipping.
The Seller will refund the purchase price (excluding original shipping costs) within 14 days of receiving the returned goods or proof of dispatch.
7. Defective or Damaged Goods
If you receive a product that is defective, damaged in transit, or significantly different from what was ordered, please contact us within 14 days of receipt.
To report an issue, email [email protected] with:
- Your order number
- Description of the issue
- Clear photographs of the defect or damage
For confirmed defects, the Seller will, at its discretion:
- Ship a replacement product at no cost, or
- Issue a full refund via the original payment method
The Seller's total liability is limited to the purchase price of the affected product.
8. Warranty
All products are covered by manufacturer warranty: LED grow lights 3–5 years, grow tents 1 year, ventilation equipment 1 year. Warranty covers defects in materials and workmanship under normal use conditions.
To file a warranty claim, contact [email protected] with your order number, a description of the defect, and photographs. The Seller will arrange repair, replacement, or refund at its discretion.
9. Intellectual Property
All content on the Store, including text, images, logos, and software, is the property of the Seller or its licensors and is protected by intellectual property law.
Spider Farmer is a registered trademark of its respective owner. The Seller is an authorized distributor and does not claim ownership of the Spider Farmer brand.
10. Limitation of Liability
The Seller is not liable for indirect, consequential, or incidental damages, including loss of profit, loss of data, or loss of crops or yield.
This limitation does not apply where mandatory law provides otherwise, including cases of intentional misconduct or gross negligence.
11. Data Protection
The Seller processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and the Estonian Personal Data Protection Act.

12. Governing Law and Jurisdiction
These GTC are governed by the laws of the Republic of Estonia.
For consumers residing in the EU, mandatory consumer protection laws of the Buyer's country of residence apply where they provide greater protection.

Any disputes shall be subject to the jurisdiction of the courts of Pärnu County Court (Pärnu Maakohus), Estonia, unless mandatory law provides otherwise.
13. Authorized Distributor
The Seller is an authorized European distributor of Spider Farmer products. All products are genuine, CE certified, and sourced directly from the manufacturer or authorized supply chain.
The supply chain and warehouse partners may change without notice provided that product authenticity and delivery standards are maintained.
14. Force Majeure
The Seller shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government actions, embargoes, sanctions, strikes, labour disputes, fire, flood, severe weather, disruption of supply chains, warehouse outages, carrier delays, cyber attacks, or interruption of utilities or telecommunications.
In the event of force majeure, the Seller's obligations are suspended for the duration of the event. If the force majeure event continues for more than 30 days, either party may cancel the affected order and the Seller will issue a full refund for any payment received.
15. Miscellaneous
If any provision of these GTC is held invalid, the remaining provisions remain in full force and effect.
These GTC are available in English. In case of discrepancy between translated versions, the English version prevails.
